Billing Agreement
This Billing Agreement ("Agreement") describes how Pallacor, Inc. ("Pallacor," "we," "us," or "our") charges for access to the Pallacor loss prevention platform. It supplements and is incorporated into our App Terms of Service. By subscribing to any Pallacor plan, you agree to the billing terms described below.
1. Pricing Model
Pallacor is priced on a per-location, per-month basis. A "location" means any physical retail site — store, distribution center, or similar — that is active in your Pallacor account. Three subscription tiers are available:
- Core — foundational incident management and incident logging tools.
- Professional — adds BOLO alerts, store auditing, advanced reporting, and expanded investigation tools.
- Enterprise — includes all Professional features plus custom integrations, dedicated support, SLA commitments, and volume pricing.
Current pricing for each tier is available on our Pricing page. Pricing may differ for customers on legacy plans or Enterprise agreements.
2. Billing Cycles
Subscriptions are available on monthly or annual billing cycles.
Monthly billing: Fees are charged at the start of each monthly billing period for the upcoming month. Your subscription renews automatically on the same day each month unless cancelled at least 5 business days before the renewal date.
Annual billing: Fees are charged upfront as a single payment covering a full 12-month period. Annual subscriptions begin on the date of initial payment and renew on the same date each year unless cancelled at least 30 days before the renewal date.
All fees are billed in U.S. dollars and are due at the start of each billing period.
3. Annual Discount
Customers who elect annual billing receive a discounted rate compared to the equivalent monthly rate. The discount percentage is displayed at checkout and on the Pricing page. Annual discounts apply only while the annual plan is active — if you switch to monthly billing, standard monthly rates apply from the next billing period.
4. Adding & Removing Locations
Adding locations: When you add a new location to your account mid-cycle, you are charged a prorated fee for the remainder of the current billing period. On your next renewal, the new location is included in the standard per-location fee.
Removing locations: When you remove a location, access is deactivated immediately and no further charges accrue for that location. Credits are not issued for the unused portion of the current billing period — deactivated locations are not refunded.
Location counts are reconciled at the start of each billing period. The fee charged reflects the number of active locations on the billing date.
5. Plan Changes
Upgrades: If you upgrade to a higher-tier plan mid-cycle, the upgrade takes effect immediately and you are charged a prorated amount for the higher tier for the remainder of the current billing period.
Downgrades: If you downgrade to a lower-tier plan, the change takes effect at the start of your next billing period. You retain access to current-tier features until then.

6. Failed Payments
If a payment fails, Pallacor will retry the charge according to the following schedule: once 3 days after the initial failure, once 5 days later, and once 7 days after that. You will receive an email notification after each failed attempt.
If payment is not successfully collected after all retry attempts, your account will be suspended. Suspended accounts lose access to the Service but Customer Data is retained for 30 days. Access is restored immediately upon successful payment of all outstanding amounts.
If an account remains unpaid for more than 30 days after suspension, Pallacor may terminate the account and begin the data deletion process described in Section 8.
7. Refunds
Monthly plans: Monthly subscription fees are non-refundable. If you cancel a monthly plan, your access continues through the end of the current billing period and no further charges are made.
Annual plans: Annual subscription fees are eligible for a full refund if a refund request is submitted within 14 days of the annual billing date. Refund requests submitted after 14 days are not eligible for a refund, except where required by applicable law.
To request a refund, contact [email protected] with your account details and reason for the request. Approved refunds are processed within 5–10 business days to the original payment method.
8. Cancellation
You may cancel your subscription at any time from your account settings or by contacting [email protected].
Upon cancellation, your access to the Service continues through the end of your current billing period. After that date, your account is deactivated and no further charges are made.
Following deactivation, Pallacor will retain your Customer Data for 90 days. During this period you may request an export of your data by contacting [email protected]. After 90 days, Customer Data is permanently deleted in accordance with our data retention policies.
9. Auto-Renewal
All Pallacor subscriptions renew automatically at the end of each billing period at the then-current rate unless cancelled before the renewal date.
For annual plans, Pallacor will send a renewal reminder email to the account's billing contact at least 7 days before the renewal charge is processed. This notice will include the upcoming charge amount and instructions for cancelling or modifying your plan before renewal.
It is your responsibility to keep your billing contact email address current in your account settings.
10. Price Changes
Pallacor reserves the right to change subscription pricing at any time. We will provide at least 30 days' written notice of any price increase before the change takes effect. Notice will be sent to the billing contact email on file and may also be posted in the Service.
Price changes take effect at your next renewal following the notice period. If you do not agree to the new pricing, you may cancel your subscription before the renewal date.
Enterprise customers with fixed-rate agreements are not subject to general price changes during their contracted term.
11. Taxes
All fees are exclusive of taxes. You are responsible for all applicable taxes, levies, duties, and similar governmental charges (including sales tax, value-added tax, and goods and services tax) imposed by any taxing authority on your subscription, other than taxes based on Pallacor's net income.
Where Pallacor is required by law to collect taxes, those taxes will be added to your invoice and charged to your payment method. If you believe you are exempt from a particular tax, please provide valid exemption documentation to [email protected] before your next billing date.
12. Payment Processing
All payments are processed securely through Stripe, Inc. ("Stripe"). By subscribing to a Pallacor plan, you agree to Stripe's terms of service and authorize Pallacor to charge your payment method on file for all applicable subscription fees.
Accepted payment methods include major credit and debit cards (Visa, Mastercard, American Express, Discover). ACH bank transfers are available for Enterprise plans upon request.
Pallacor does not store your full card number or banking credentials. All payment information is tokenized and handled by Stripe in accordance with PCI-DSS standards.
13. Invoices
A receipt is automatically emailed to the billing contact after each successful charge. Detailed invoices are available at any time from your account's billing dashboard.
If you require invoices with specific billing details (purchase order numbers, company address, VAT ID, etc.), update your billing profile in account settings or contact [email protected]. Invoice format changes apply to future invoices and cannot be applied retroactively.
14. Enterprise Plans
Enterprise customers may negotiate custom pricing, payment terms, SLA commitments, and contract durations through a separate written agreement. The terms of any executed Enterprise agreement supersede the standard billing terms in this Agreement where they conflict.
